ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN.  A purchase from Jonathan Adler or Naturopathica will not improve your chances of winning.  This Giveaway is open only to individuals who are permanent legal residents of the United States of America (defined for purposes of these Official Giveaway Rules as the 50 states (excluding Rhode Island) and the District of Columbia) who are 18 years of age or older at the time of entry.  The following individuals are not eligible:  employees, contractors, directors and officers of Sponsors and their respective parents, affiliates, subsidiaries, distributors, web designers, judges, representatives, agents and advertising and promotion agencies and any other entity involved in the development or administration of this Giveaway, and their immediate family members (spouse, parent, child, sibling or “step” of each) or household members (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Giveaway). All prizes won by minors will be awarded to their parents or legal guardians on their behalf. Each winner may be required to sign an Affidavit of Eligibility and complete relevant tax forms as a condition to the delivery of the applicable prize. Void where prohibited by law. HOW TO ENTER: To enter, you must complete all of the following steps between 09:00 a.m. E.S.T. on April 17^th, 2020 and 11:59 p.m. E.D.T. on May 1st, 2020 (the “Entry Period”). Navigate to www.jonathanadler.com and submit (a) your first name, (b) last name, (c) email address on the “Jonathan Adler x Nautropathica” sweepstakes page located at http://www.jonathanadler.com/ja-naturopathica-sweeps. 

Alternative Method of Entry (“AMOE”): You may also enter the Giveaway by legibly hand-printing your first name, last name, date of birth, complete address, city, state, ZIP code, day and evening phone numbers (including area code), and email address (if any) on a plain 3” x 5” index card and mailing your completed 3” x 5” card to: “JA x Naturopathica”, Jonathan Adler Enterprises, LLC 333 Hudson Street – 7^th Floor, New York, NY 10013. To be considered eligible in the Giveaway, AMOE entries must be mailed in an envelope with sufficient postage and postmarked no later than 11:59 p.m. E.D.T. on May 1st, 2020 and received no later than 11:59 p.m. E.D.T. May 8th, 2020.

All entries, including the AMOE has an entry limit of one (1) entry per person.

Incomplete entries are ineligible.  Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. All entries become the property of the Sponsors and will not be acknowledged or returned.  No correspondence will be entered into except with the selected winner.  No photocopied, computer-generated, facsimiles, mechanically reproduced, or mass entries permitted.  By entering the Giveaway in accordance with the entry process described above, you will be registering to receive Naturopathica email newsletters offered by Naturopathica and Jonathan Adler emails offered by Jonathan Adler Enterprises, LLC (“Jonathan Adler”) and agreeing that your registration and any other information collected in connection with the Giveaway may be used by Jonathan Adler in accordance with Sponsor’s Privacy Policy, a current copy of which can be found here: http://www.jonathanadler.com/privacy, by Naturopathica in accordance with its Privacy Policy, a current copy of which can be found here: https://www.naturopathica.com/policies/privacy-policy. All information provided by you in connection with this Giveaway is being transmitted to the Sponsors. Notwithstanding anything to the contrary in the foregoing, information collected from you will only be used for direct marketing purposes if you consent to use of your information in such manner. Sponsors expressly reserves the right to disqualify any entries that they it believes in good faith are generated by an automated program or via scripts.

PRIZES: At the end of the Entry Period, there will be one (1) drawing in which one (1) grand prize winner will be randomly selected from all eligible entries received during the Entry Period by an employee or representative of the Sponsors.  The grand prize winner shall receive: (a) one shopping spree to Jonathan Adler, in the form of a gift card with a value of $240.00, redeemable online through http://www.jonathanadler.com/ or in any one of Jonathan Adler’s boutique locations; (b) a Jonathan Adler Smoke Hollywood Bath Bundle; (c) a shopping spree to Naturopathica, in the form of a gift card with a value of $300.00, redeemable online through https://www.naturopathica.com/ or in any one of Naturopathica boutique locations; (d) Naturopathica Gifting Assortment (Manuka Honey Cleansing Balm, Sweet Cherry Brightening Enzyme Peel, Calendula Essential Hydrating Cream and Sweet Birch Magnesium Bath Flakes). The decisions of the Sponsors are final and binding with respect to all matters related to the Giveaway. The winner will be picked by May 12th, 2020.  In no event shall the Sponsors be obligated to award more prizes or value than the number of prizes or values stated in these Official Giveaway Rules. No prize substitution, cash substitution, or assignment or transfer of prizes is permitted, except by the Sponsors because of unavailability, in which case a prize of equal or greater value will be awarded. If you are 18 or older and still considered a minor in your jurisdiction for purposes of participating in this Giveaway and you are selected as a winner of the prize, you must obtain the permission of your parent and/or legal guardian, who must agree to these Official Giveaway Rules on his/her and your behalf and submit a parental consent form (described in more detail below in General Conditions and Releases) prior to receiving the prize, which will be awarded to your parent or legal guardian on your behalf. Each winner shall be responsible and liable for the payment of all federal, state and local taxes on the value of the prize.  If required by law, Sponsors will issue to winner an I.R.S. Form 1099 for the retail prize value for tax reporting purposes. SELECTION: The winning entry will be chosen at random. The number of eligible entries received determines the odds of winning. In the event of a dispute regarding the identity of the person submitting the entry, the entry will be deemed to be submitted by the person in whose name the e-mail account is registered. The Giveaway will be conducted under the supervision of the Sponsors. The decisions of the Sponsors are final and binding in all matters relating to this Giveaway. Sponsors reserves the right to determine the method of notification. The winner must claim the prize within five (5) business days after the date of notification of the award of such prize. A Giveaway winner's failure to respond to the prize notification within such five (5) business days will be considered such Giveaway winner's forfeiture of the prize and an alternate winner may be selected from the pool of eligible entries. If an entrant is found to be ineligible, an alternate winner may also be selected from the pool of eligible entries. Sponsors reserves the right to ship prizes directly to the e-mail and/or mailing address provided by winner during their respective entry to the Giveaway or following notification that winner submitted a winning entry. Each entry submitted in response to the Giveaway and in accordance with the Official Giveaway Rules will constitute an official entry. Duplicate entries will be void. Requests received more than sixty (60) days after the end of the Giveaway will not be honored.

GENERAL CONDITIONS AND RELEASES: By entering or accepting a prize in the Giveaway, you agree to be bound by these Official Giveaway Rules, which shall be final and binding in all respects, and to conform to all applicable federal, state and local laws and regulations.  This Giveaway is subject to all federal, state and local laws.  Void where prohibited.  An entrant or winner may be disqualified from the Giveaway if he or she fails to comply with each provision of these Official Giveaway Rules, as determined in the sole discretion of the Sponsors. Unless prohibited by applicable law, your entry constitutes your permission to use your name, photograph, likeness, voice, address (city and state) and testimonials in all media, in perpetuity, in any manner Sponsors deems appropriate for publicity purposes without any further compensation to you. Participation in the Giveaway is at your own risk. Sponsors, except with respect to subparagraph 5 below, Jonathan Adler and Naturopathica shall not be liable for: (1) failed, returned or misdirected notifications based on inaccurate information provided by the winner on the Giveaway entry form; (2) entries and responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for computer or technical error of any kind; (3) any electronic miscommunications or failures, technical hardware or software failures of any kind, lost or unavailable network connections, or failed incomplete, garbled or delayed computer transmissions which may limit an entrant's ability to participate in the Giveaway; (4) any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from downloading any part of this Giveaway; (5) any warranty of fitness or merchantability of any prize or the function or operation thereof, which shall be the sole responsibility of the manufacturer of the prize; or (6) any act or omission at any event included as part of any prize. The Sponsors do not make any, and hereby disclaim any and all, representations or warranties of any kind, express or implied, regarding any prize, which is awarded “as is.” When applicable, each winner (or, if the winner is a minor, the winner's parent or legal guardian) may be required to execute and return to the Sponsors within five (5) business days an I.R.S. Form W-9, an Affidavit of Eligibility and a Liability and Publicity Release to be eligible for the prize or an alternate winner will be selected. Each winner may be required to furnish proof of identity, address, birth date and proof that the winner is the authorized account holder of the e-mail address associated with such winning entry in order to receive a prize. By entering, an entrant agrees to release and hold harmless Sponsors and each of their respective parents, subsidiaries and affiliated entities, directors, officers, employees, attorneys, agents, and representatives from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, “Claims”) that may arise from their acceptance, possession and/or use of any prize or their participation in this promotion, or from any misuse or malfunction of any prize awarded, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.  Any person attempting to defraud or in any way tamper with this Giveaway will be ineligible for prizes and may be prosecuted to the fullest extent of the law. The Sponsors reserves the right to modify these Official Giveaway Rules in any way or at any time. If for any reason the computerized and Internet portion of this Giveaway is incapable of running as planned because of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, strike, act of God, or any other cause beyond the control of Sponsors, Sponsors reserves the right, in their sole discretion and without obligation or prior notice, to cancel, terminate, modify or suspend the Giveaway.  In such event, Sponsors may conduct a drawing to award the prize using all eligible entries received as of the time of cancellation, termination, modification or suspension.  In the event of cancellation or suspension, Jonathan Adler Enterprises, LLC shall promptly post a notice on the Giveaway entry page to such effect. This Giveaway shall be governed by New York law. By participating in this Giveaway, entrants agree that New York courts shall have exclusive jurisdiction over any dispute or litigation arising from or relating to this Giveaway and that venue shall be only in New York, NY.
